1. Acceptance of Terms

By accessing or using the Link345 Shopping TV platform at link345.tv (“the Service”), you agree to be bound by these Terms of Service. The Service is operated by Sands Limited, trading as Link345, a company registered in the Cayman Islands (“the Company,” “we,” “us”). If you do not agree to these terms, you must not use the Service.

The Service is available to verified sellers on the Link345 e-commerce marketplace (link345.ky). You must be at least 18 years of age and have the legal authority to enter into these terms on behalf of yourself or your business.

2. Description of Service

Link345 Shopping TV is an AI-powered video production platform that generates shopping TV-style commercial videos for products listed on the Link345 marketplace. The Service uses artificial intelligence technologies including AI script generation, AI presenter avatars, and AI-generated product cinematics to produce video content.

Videos produced by the Service are intended for promotional use on the Link345 marketplace and related distribution platforms. The Company reserves the right to modify, update, or discontinue any aspect of the Service at any time with reasonable notice.

3. User Responsibilities

As a user of the Service, you agree to: (a) provide accurate and truthful product information; (b) ensure you have the right to use all product images and content submitted to the platform; (c) not submit content that is misleading, defamatory, or in violation of any applicable law; and (d) comply with all advertising standards and regulations applicable in the Cayman Islands and any jurisdiction where your videos may be distributed.

You are solely responsible for the accuracy of product claims, pricing, and descriptions used in your generated videos.

4. Content Ownership & Licensing

Videos generated through the Service are created using a combination of seller-provided content and AI-generated elements. Upon full payment, sellers receive a non-exclusive licence to use their generated videos for promotional purposes. The Company retains the right to use generated videos on the Link345 Shopping TV channel and related distribution platforms.

AI-generated elements (including AI presenter performances, AI-generated product cinematics, and AI-written scripts) are produced using third-party AI services and are subject to the respective terms of those service providers.

5. Credits, Payments & Paddle

The Service operates on a credit-based system. Credits are purchased in packs and are used to generate, customise, and regenerate videos. Current credit pack offerings and pricing are displayed on our Pricing page.

All payments are processed by Paddle.com (“Paddle”), which acts as the Merchant of Record for all transactions. When you purchase credits, your contract for payment is with Paddle, not with Sands Limited. Paddle handles all billing, sales tax, VAT, and GST collection on behalf of the Company. All prices are displayed in USD.

Credits do not expire but are non-transferable between accounts. Credit packs and pricing may be updated from time to time; any changes will apply to future purchases only and will not affect credits already purchased.

6. Refunds

Since Paddle acts as the Merchant of Record, refund requests are processed through Paddle in accordance with our Refund Policy. Please review the Refund Policy for full details on eligibility, timeframes, and the process for requesting a refund.

7. AI Content & Moderation

All generated videos are subject to automated AI content moderation before publication. Our moderation system reviews scripts and video content for compliance with advertising standards, marketplace policies, and applicable regulations. Videos that do not pass moderation are flagged for manual review by the Company's moderation team.

The Company reserves the right to reject, remove, or require modification of any video that does not meet quality or compliance standards, contains inappropriate content, or violates these terms. Content moderation decisions are made at the Company's sole discretion.

8. Limitation of Liability

The Service is provided “as is” and “as available.” The Company makes no warranties, express or implied, regarding the Service's fitness for a particular purpose, reliability, or availability. To the maximum extent permitted by Cayman Islands law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of revenue, data, or business opportunities. The Company's total liability for any claim arising from these terms shall not exceed the amount paid by you for credits in the twelve months preceding the claim.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your personal and business information. By using the Service, you consent to the collection and processing of data as described in the Privacy Policy.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Cayman Islands. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by posting the new terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised terms.
